# Terms and Conditions for Partners
## Remotica - Online Partnership Agreement

## 1. Agreement Acceptance

By completing the registration process as a Remotica Partner, you fully accept these Terms and Conditions for Partners ("Partner T&C").

**This is a legally binding agreement between you (the Partner) and Remotica.**

### 1.1 Definitions

- **"Remotica"**: Platform operated by [Legal Entity Name], VAT [To be completed]
- **"Partner"**: The venue (bar, café, coworking, etc.) offering workspaces through Remotica
- **"User"**: Remote worker booking workspaces through Remotica
- **"Workspace"**: Work space offered by Partner through the platform
- **"Booking"**: Confirmed and paid reservation by a User

### 1.2 Partner Requirements

To become a Partner you must:
- Be owner or authorized legal representative of venue
- Have active Italian VAT number
- Have IBAN to receive payments
- Complete Stripe Connect onboarding
- Provide accurate workspace information (WiFi, hours, amenities)

## 2. Business Model

### 2.1 Remotica's Role

Remotica is an **intermediary platform** that:
- Connects Users with Partners
- Manages bookings and payments
- Processes payments via Stripe Connect
- Promotes Partners on marketing channels

**Remotica does NOT directly manage workspaces.** Partner provides service directly to User.

### 2.2 Partner's Role

Partner:
- Provides workspace and services (WiFi, outlets, environment)
- Welcomes Users with confirmed Remotica booking
- Verifies booking codes
- Maintains adequate quality standards

## 3. Commissions and Payments

### 3.1 Commission Structure

**Remotica retains a commission on each confirmed booking:**

| **Founder Partner** (first 30) | 10% | 90% - tech fees |
| **Standard Partner** | 20% | 80% - tech fees |

**Tech fees (Stripe):**
- Checkout: 1.5% + €0.25 (deducted from user payment)
- Payout: €0.25 (deducted from partner payment)

### 3.2 Example €19 Booking

**Founder Partner (10%):**
- Price paid by User: €19.00
- Stripe checkout fee: -€0.54
- Remotica commission (10%): €1.90
- Stripe payout fee: -€0.25
- **You receive: €17.10**

**Standard Partner (20%):**
- Price paid by User: €19.00
- Stripe checkout fee: -€0.54
- Remotica commission (20%): €3.80
- Stripe payout fee: -€0.25
- **You receive: €15.20**

### 3.3 Payment Timing

**Automatic payouts:**
- **Frequency**: Weekly (every Monday)
- **Method**: SEPA bank transfer via Stripe Connect
- **Minimum threshold**: €10 (below this, payment accumulated to next week)
- **Technical timing**: 2-3 business days for IBAN crediting

**Transparency:** Partner Dashboard shows real-time bookings, revenues, payouts.

### 3.4 Founder Partner - Lifetime Commission Guarantee

**If you're a Founder Partner (first 30):**
- 10% commission guaranteed **for life**
- Even if standard commission increases beyond 20% in future
- Recognition of early adopter status

## 4. Booking Management

### 4.1 Booking Flow

1. User books workspace on Remotica (pays 100% upfront)
2. You receive notification via email/SMS with booking details
3. User arrives at venue and shows confirmation code (e.g., ABC123)
4. You verify code (visual or QR scan) and welcome User
5. User works for booked duration
6. No check-out required - User leaves freely

### 4.2 Cancellations

**Cancellation by User:**

| ≥2 hours before | 100% | €0 (you receive nothing) |
| <2 hours before | 0% | 100% (you receive full payment) |
| No-show | 0% | 100% (you receive full payment) |

**Cancellation by you (Partner):**
- If you cancel a confirmed booking: User receives 100% refund
- Remotica may charge commission as penalty if cancellation unjustified
- After 3 unjustified cancellations: possible profile suspension

### 4.3 Availability Modifications

You can modify at any time:
- Opening hours
- Number of spaces available for remote work
- Block specific dates/times (e.g., private events)
- Change prices

**Modifications do NOT affect already confirmed bookings.**

## 5. Partner Obligations

### 5.1 Service Standards

**You must guarantee:**
- **Functioning WiFi**: Minimum speed 5 Mbps download (declared on platform)
- **Adequate spaces**: Tables/desks (not bar counter) with space for laptop
- **Work environment**: Reasonably quiet during work hours
- **Cleanliness and hygiene**: Clean spaces in good condition
- **Power outlets**: Available where possible

### 5.2 User Welcome

**When User arrives with booking:**
1. Verify confirmation code (visual or QR)
2. Provide WiFi password
3. Indicate where they can sit
4. Treat with courtesy and professionalism

**No obligation for:**
- Minimum purchase requirement (at your discretion to communicate)
- Formal check-out
- Paper registers (everything digital)

### 5.3 Accurate Information

**You must provide correct information about:**
- Opening hours
- Real WiFi speed
- Number of available spaces
- Offered services (outlets, printers, etc.)
- Representative photos of venue

**Updates:** Keep dashboard data current in case of changes.

## 6. Remotica's Obligations

### 6.1 Provided Services

Remotica commits to:
- Provide functioning and secure technology platform
- Process payments and automatic payouts
- Promote Partners on marketing channels (social, universities, guerrilla)
- Provide technical support via email/WhatsApp
- Dashboard for real-time monitoring of bookings and revenues

### 6.2 Marketing for Founder Partners

**Exclusive Founder Partner benefits:**
- "Founder Partner" badge visible on platform
- Priority in marketing campaigns
- At least 1 dedicated post on Instagram/TikTok in first month
- Mention in physical marketing materials (university flyers)

## 7. Duration and Termination

### 7.1 Duration

Agreement has **indefinite duration** starting from registration approval.

### 7.2 Termination

**Each party may terminate with:**
- **Notice**: 7 days
- **Communication**: Email to partner@remotica.com (Partner) or Partner email (Remotica)

**During notice period:**
- Already confirmed bookings must be honored
- New bookings are not accepted
- Pending payouts are processed

### 7.3 Temporary Suspension

You can temporarily suspend profile (e.g., vacation, renovation) without terminating agreement:
- Dashboard remains accessible
- No bookings are accepted
- Reactivation at any time

## 8. Liability and Insurance

### 8.1 Remotica's Liability

**Remotica is responsible for:**
- Technology platform functioning
- Payment security via Stripe
- Personal data protection according to GDPR

**Remotica is NOT responsible for:**
- User behavior inside venue
- Damages caused by Users
- Quality of service provided by Partner
- Accidents or injuries at venue

### 8.2 Partner's Liability

**You are responsible for:**
- User safety and well-being at venue
- Compliance with health and safety regulations
- Any damages caused by structural venue problems
- Adequate venue liability insurance

### 8.3 Insurance

- Each party maintains their own liability insurance
- Users are venue visitors, not Remotica customers
- Partner guarantees having active venue liability insurance

## 9. Data Protection (GDPR)

### 9.1 Data Collected

**Remotica collects and processes:**
- Partner data: venue name, address, VAT, IBAN, representative name
- User data: name, email, booking details

### 9.2 GDPR Roles

- **Remotica**: Data controller for User data
- **Partner**: Independent controller for any data collected directly (e.g., cameras, internal registers)

### 9.3 Partner Obligations

Partner commits to:
- NOT use User data for own purposes without consent
- NOT contact Users for direct marketing through Remotica
- Comply with GDPR if collecting personal data independently

## 10. Intellectual Property

### 10.1 Trademarks

- "Remotica" and logo are property of Remotica
- Partner can use "Remotica Partner" or "Remotica Founder Partner" logo on marketing materials
- Partner authorizes Remotica to use venue name and photos on platform and marketing

### 10.2 Content

- Photos and descriptions provided by Partner remain Partner's property
- Remotica can use them only for venue promotion on platform
- In case of termination, Remotica removes content within 7 days

## 11. Pricing and Control

### 11.1 Price Setting

**You decide prices:**
- Price per hour of workspace use
- Modifiable at any time via dashboard
- Remotica suggestion: €3-€6/hour (market average)

### 11.2 Promotions

Remotica may offer promotions/discounts to Users:
- You always receive contractual share (90% or 80% - fees)
- Remotica waives own commission to finance discount
- Advance notification via email if your venue is included

## 12. Dispute Resolution

### 12.1 Attempt at Conciliation

In case of disputes:
1. Contact partner@remotica.com
2. Remotica responds within 3 business days
3. We always seek amicable solution before legal action

### 12.2 Governing Law

This agreement is governed by **Italian law**.

### 12.3 Jurisdiction

For disputes not resolvable amicably, jurisdiction lies with:

## 13. Final Provisions

### 13.1 Agreement Modifications

Remotica may modify these T&C with:
- 30 days' notice via email
- Publication of new version on website
- Continuation of relationship equals acceptance

### 13.2 Communications

**Partner → Remotica:**

**Remotica → Partner:**
- Email provided during registration

### 13.3 Severability

If a clause is declared invalid, other clauses remain valid.

### 13.4 Entire Agreement

These Partner T&C, together with Privacy Policy, constitute the entire agreement between you and Remotica.

## 14. Stripe Connect Onboarding

### 14.1 Requirements

To receive payments you must:
1. Complete Stripe Connect onboarding (link sent after registration)
2. Provide: personal data, VAT, IBAN, identity document
3. Verify identity (document uploaded to Stripe, NOT sent to Remotica)

### 14.2 Privacy

- Remotica does **NOT receive or see** your IBAN
- All payments are managed by Stripe (PCI-DSS certified)
- Stripe Europe Ltd (Ireland) is GDPR-compliant processor

## 16. Brief Summary (TL;DR)

✅ **Commissions**: 10% Founder Partners (lifetime), 20% Standard Partners
